Terms of Service

We provide certified public accounting services including tax preparation, tax planning, bookkeeping, payroll, business formation, IRS resolution, CFO advisory, and sales tax compliance. Specific scope, deliverables, and timelines for each client engagement are defined in a separate written engagement letter.

A signed engagement letter is required before we begin work. In the event of any conflict between these Terms and your engagement letter, the engagement letter governs.

You agree to:

• Provide complete, accurate, and timely information and supporting documents.
• Review and approve returns and filings before submission.
• Maintain your own records and source documents.
• Notify us promptly of any IRS or state notices, audits, or material changes to your situation.
• Use our secure portal for transmitting sensitive documents — not unencrypted email.

We are not responsible for errors, penalties, or interest resulting from incomplete or inaccurate information you provide.

Fees are quoted in your engagement letter — either as fixed-fee scopes, monthly retainers, or hourly rates. Invoices are due upon receipt unless otherwise stated. Late accounts may be subject to a finance charge and we may suspend work until amounts are paid. All fees are non-refundable once work has commenced unless agreed in writing.

Services are performed in accordance with applicable U.S. professional standards, including AICPA standards, IRS Circular 230, and relevant state board rules. We exercise professional judgment but cannot guarantee specific outcomes (e.g., IRS audit results, refund amounts, or tax savings).

We treat all client information as confidential and will not disclose it without your consent, except as required by law, regulation, or professional obligation. See our Privacy Policy for details on how we handle data.

To the maximum extent permitted by law, our total cumulative liability for any claim arising out of or related to our services shall not exceed the fees you paid us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, lost profits, or lost data.

You agree to indemnify and hold us harmless from any third-party claims, losses, or liabilities arising from inaccurate or incomplete information you provided, your unauthorized use of our deliverables, or your breach of these Terms.

You agree not to:

• Use our website or services for any unlawful purpose.
• Attempt to gain unauthorized access to systems or data.
• Reproduce, modify, or redistribute our content without permission.
• Interfere with the proper functioning of the website.

All content on dushyanthirwani.com — including text, graphics, logos, and templates — is owned by Dushyant Hirwani CPA and protected by intellectual property laws. You may not use it commercially without written permission.

We may use third-party platforms (e.g., QuickBooks, Xero, Gusto, e-file transmitters) to deliver services. Your use of those tools is subject to their respective terms. We are not responsible for outages, errors, or breaches caused by third-party providers.

Either party may terminate an engagement in writing. Upon termination, you remain responsible for fees earned through the termination date. We will return your records and provide reasonable transition assistance, subject to payment of outstanding fees.

These Terms are governed by the laws of the United States and the state of the firm's principal place of business, without regard to conflict-of-law rules. Any dispute shall be resolved through good-faith negotiation, then binding arbitration if needed.

We may update these Terms from time to time. Continued use of the website or services after changes are posted constitutes acceptance of the updated Terms.
