3. Client Responsibilities
You agree to:

- Review and approve returns and filings before submission.
- Maintain your own records and source documents.
- Notify us promptly of any IRS or state notices, audits, or material changes to your situation.
- Use our secure portal for transmitting sensitive documents — not unencrypted email.
We are not responsible for errors, penalties, or interest resulting from incomplete or inaccurate information you provide.
4. Fees & Payment
Fees are quoted in your engagement letter — either as fixed-fee scopes, monthly retainers, or hourly rates. Invoices are due upon receipt unless otherwise stated. Late accounts may be subject to a finance charge and we may suspend work until amounts are paid. All fees are non-refundable once work has commenced unless agreed in writing.
5. Professional Standards
Services are performed in accordance with applicable U.S. professional standards, including AICPA standards, IRS Circular 230, and relevant state board rules. We exercise professional judgment but cannot guarantee specific outcomes (e.g., IRS audit results, refund amounts, or tax savings).
6. Confidentiality

7. Limitation of Liability
To the maximum extent permitted by law, our total cumulative liability for any claim arising out of or related to our services shall not exceed the fees you paid us in the twelve (12) months preceding the event giving rise to the claim. These Terms are governed by the laws of the United States and the state of the firm's principal place of business, without regard to conflict-of-law rules. Any dispute shall be resolved through good-faith negotiation, then binding arbitration if needed.
